personally, i would develop a new site based upon the latest version, while the old site is still going. do the graphics, etc, and then migrate the database via sql diff to get it up to date. then test, test some more and then test some more. once you are satisfied it works, then do the final migration/database upgrade from the working store, take it off line, and put the new one in its place. that way, if something goes wrong, all you have to do is make a few changes on the old store and it is still up while you figure out what went wrong.
